Terms and Conditions for CrewMem

PLEASE READ THIS TERMS OF SERVICE CAREFULLY. CrewMem, a beta-phase web application designed to help teams, managers, HR professionals, and leaders track and manage long-term team memories using AI-powered tools. By accessing or using CrewMem (the “Service”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, please do not use the Service.

1. Acceptance of Terms

By signing up for or using CrewMem, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. You agree to comply with these Terms and all applicable laws. CrewMem is provided by “Limnr LLC” (“we,” “us,” or “our”).

2. Description of Service

CrewMem is a platform that enables users to: - Sign in securely via Google Sign-In. - Create and manage teams to track collective memories, events, and insights. - Use AI-powered tools (powered by OpenAI’s GPT-4o or GPT-4o-mini, depending on subscription tier) for data extraction, analysis, and content generation. - Connect the Service to third-party applications to automate data flows via integrations (e.g., Zapier). - Make payments for premium features via Stripe.

The Service is currently in beta and may be subject to changes, updates, or interruptions as we refine the platform.

3. User Accounts and Responsibilities

3.1 Account Creation

  • You must sign up using Google Sign-In, which provides us with your email address for account management.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • Notify us immediately at [email protected] if you suspect unauthorized access to your account.

3.2 Team Member Data

  • You may create teams and add team members to track memories. You are solely responsible for the accuracy and legality of the data you enter, including team member names or other personal information.
  • CrewMem does not verify or assume responsibility for the accuracy of team member data provided by you.

3.3 Acceptable Use

You agree not to: - Use the Service for any unlawful purpose or in violation of these Terms. - Upload or share content that is defamatory, offensive, or infringes on third-party rights (e.g., intellectual property, privacy). - Attempt to reverse-engineer, hack, or interfere with the Service’s functionality or security. - Use automated tools (e.g., bots, scrapers) to access or extract data from the Service without permission.

4. Privacy and Data Handling

  • Data Collection: We collect only your Google account email address for authentication and account management. Additional data (e.g., team names, member details, memories) is provided voluntarily by you.
  • Data Storage: All data is stored on our self-hosted servers using a custom fork of Mem0. We do not share or sell your data to third parties.
  • AI Processing: We use OpenAI’s GPT-4o or GPT-4o-mini for data analysis and content generation. Data processed by these models is handled per OpenAI’s privacy policies, but we ensure no data is shared beyond what is necessary for the Service’s functionality.
  • Security: We implement reasonable security measures to protect your data, but no system is 100% secure. You acknowledge the inherent risks of online data storage.

5. Payments and Subscriptions

  • Free Tier: Upon sign-up, you receive 200 free credits to explore CrewMem’s features, subject to usage limits.
  • Premium Tiers: Paid subscriptions (processed via Stripe) unlock advanced features, such as unlimited credits and access to GPT-4o. Pricing and features are detailed on our pricing page.
  • Billing: Payments are processed securely via Stripe. You authorize us to charge your chosen payment method for recurring subscriptions (e.g., monthly).
  • Refunds: Refunds are handled per our refund policy, available on the pricing page.
  • Cancellation: You may cancel your subscription at any time via your account settings. No further charges will apply after cancellation, but no refunds will be issued for partial billing periods.

6. Intellectual Property

  • CrewMem Ownership: The Service, including its software, design, and AI-powered features (excluding third-party integrations like OpenAI), is owned by us and protected by intellectual property laws.
  • User Content: You retain ownership of the content you upload (e.g., team memories). By uploading, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process this content to provide the Service.
  • Feedback: Any feedback you provide about CrewMem may be used by us without compensation or attribution.
  1. Third-Party Integrations (e.g., Zapier)
  • General: The Service may allow you to connect your CrewMem account with third-party applications or services, such as Zapier (“Third-Party Integrations”). By enabling a Third-Party Integration, you grant us permission to access and exchange your data with that service as directed by your configuration.
  • Your Responsibility: You are solely responsible for your use of any Third-Party Integration, including its configuration and the data you choose to transmit. You represent that you have the necessary rights and permissions to share your data with these services. Your use of Third-Party Integrations is governed entirely by their respective terms of service and privacy policies, not ours.
  • Disclaimer: We do not control and are not responsible for the functionality, security, or data privacy practices of any Third-Party Integration. These integrations are provided “as is” and “as available” without warranty of any kind. We disclaim all liability for any harm or damages, including data loss, corruption, or security breaches, that may arise from your use of a Third-Party Integration.

8. Termination

  • By You: You may stop using the Service at any time and delete your account via the app settings.
  • By Us: We may suspend or terminate your access if you violate these Terms, engage in prohibited activities, or if we discontinue the Service (with reasonable notice where possible).
  • Upon termination, your data may be deleted per our data retention policy, and you will lose access to all features.

9. Disclaimers and Limitation of Liability

  • Beta Phase: CrewMem is in beta and provided “as is.” We do not guarantee uninterrupted, error-free, or secure operation.
  • No Warranties: To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose.
  • Liability Cap: Our total liability for any claims arising from the Service will not exceed the amount you paid us in the last 12 months (or $50 for free-tier users).
  • We are not liable for any indirect, incidental, or consequential damages, including loss of data or profits.

10. Indemnity

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the Service, including content you upload or violations of these Terms.

11. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of Wyoming, USA.
  • Any disputes will be resolved through good-faith negotiation. If unresolved, disputes will be handled in the courts of Casper, Wyoming.

12. Changes to Terms

We may update these Terms to reflect changes in the Service or legal requirements. We will notify you via email or in-app notice. Continued use after changes constitutes acceptance of the new Terms.
